1) To enter, upload a copy of your video submission to any video hosting site such as SchoolTube, YouTube, Google Video, Yahoo Video, etc. Complete the entry form which includes your name, school, school address, educator contact information, guardian contact information, length of video, and agreement to the rules and regulations. A signed copy of the copyright release form must be emailed, faxed or mailed to the attention of Video Contest c/o Xap Corporation/Bridges Transitions Co. and postmarked before Tuesday, March 31st, 2009.

When more than one student has been involved in the creation of the video submission:

A. Teams must not exceed five (5) individuals,
B. Educators can not qualify as team members,
C. One student only must be designated as the video producer,
D. All involved creators must sign the copyright release form,
E. The video producer who will represent the team must complete a separate Official Entry Form and such form must accompany the signed copies of the copyright release forms. Cash prizes of $100 US for finalists, $1,000 US for third place, $1,500 US for second place, and $2,500 US for first place, will be divided evenly between all team members. Prizes may be awarded directly to the schools or post-secondary institutions associated with winning entries.

For the purpose of these Rules & Regulations, each properly labelled video submission accompanied by all applicable completed Official Entry Forms shall be considered an entry.

2) To be eligible, your video submission must be related to the topic of being ready for work.

The video must be suitable for student viewing. Maximum running time for each entry is three (3) minutes in length. All entries must be received no later than Friday, December 4th, 2009, 11:59pm Pacific Time.

3) Only one entry may be submitted per student, either as an individual or as part of a team effort, and each video submission must have its own entry form (or forms, in the case of a team effort.) Xap Corporation/Bridges Transitions Co. is not responsible for entries which are delayed, lost, misdirected, incomplete, damaged, or destroyed. Any entry that is tampered with, unreadable, or mutilated will be null and void. All winning entries will become the sole property of Xap Corporation/Bridges Transitions Co.

4) Each individual or team member involved in the creation of a winning entry – and, in the case of those individuals or team members who have not yet reached the age of majority, his/her parents or legal guardian – will be required to sign a standard declaration and release form confirming compliance with the contest rules, and acceptance of any prize that may be awarded and assigning all right, title and interest in the entry to Xap Corporation/Bridges Transitions Co. within seven days of being notified that his/her entry has been selected. Each must also certify that the winning video submission is original to the selected entrant or entrants and that Xap Corporation/Bridges Transitions Co. has an unrestricted right to use it for any purposes.

5) Entries will be judged by a panel of experts chosen by Xap Corporation/Bridges Transitions Co. Judges will select the top Entries (the "Finalists") based on the following criteria:

* Creativity of Submission (25%)
* Originality of Submission (25%); and
* Relevance of submission, fitting with the theme of sharing what you've learned from your past in order to help others (50%)

The decisions of the judges on all matters relating to the contest are final. Preliminary judging will take place on or about Friday, December 18th, 2009, and each individual or team member who has qualified as a finalist will be notified in person, by telephone, email, and/or mail is a finalist. A final round of judging will take place from January 4th to January 15th, 2010, and each individual or team member who submitted a winning entry will be notified in person, by telephone, email, and/or mail that his/her entry has won by January 19th, 2010. Individuals must signify acceptance of the award by January 18th, 2010. If Bridges Transitions, Co. is unable to contact the Educator/Sponsor within the notification period, or if an individual or one or more team members declines the prize, the prize may be forfeited and awarded to another entry in accordance with these contest rules. If Xap Corporation/Bridges Transitions Co. does not receive entries of sufficient quality, Xap Corporation/Bridges Transitions Co. reserves the right not to award any or all of the prizes.

6) This contest is open to elementary school, junior/middle school, high school, college students who are residents within the United States and Canada, except for residents of Quebec, and employees of Xap Corporation/Bridges Transitions Co. as well as members of such employees' immediate families and all persons residing in such households. If a selected entrant has not reached the age of majority, Xap Corporation/Bridges Transitions Co. will require his or her parent(s)' or legal guardian(s)' authorization before permitting the entrant to participate in the awards program.

7) Your video submission must be entirely your (or in the case of a team effort, your team's) own original creation and must not infringe upon or violate any laws or any rights of any third parties, including, but not limited to, such violations as infringement of copyright, patent, trademark, trade secret or other proprietary or property right, libel, defamation, violation of rights of privacy, publicity, personality, or celebrity, or any contract right, or any other right of any individual, corporation or other entity. Entrants must obtain all necessary permissions, licenses, clearances, releases, waivers of moral rights, and other approvals from third parties (including but not limited to all copyright holders and all individuals appearing in the video submission), necessary to use the video submission, in whole or in part, in any way, including without limitation to reproduce, make derivatives, edit, modify, translate, distribute, transmit, publish, license, and broadcast the video submission worldwide, by any means. Any and all such permissions, licenses, clearances, releases, waivers of moral rights, and approvals must be provided to Xap Corporation/Bridges Transitions Co. upon its request.

8) By entering this contest, each entrant – with the consent of a parent or guardian in the case of students under 18 years of age – consents to the use, reproduction, publication, transmission and/or broadcasting of his/her name, address, likeness, school, age, grade information, without compensation, in any Xap Corporation/Bridges Transitions Co. advertising, publicity, or promotion, and/or for general news and information purposes.

9) Ownership and License Grant: entrants will retain all of the ownership rights in the Video. However, in consideration of entrants participation in this Contest, entrants expressly grant and assign to Xap Corporation/Bridges Transitions Co. the royalty-free, non-exclusive, sub-licensable and transferable, unlimited worldwide right to modify, use, reproduce, distribute, electronically publish, and display the submitted Video and any written material in all media, means, and forms and without any payment to entrants. Entrants agree that the submission and use of each entry shall be subject to and governed by the Contest Rules.

10) The chances of winning depend on the total number and quality of eligible entries received prior to the closing date.

11) If for any reason this program is not capable of running as planned or if in the sole discretion of Xap Corporation/Bridges Transitions Co. the administration, security, fairness, integrity, or proper conduct of this contest is corrupted or adversely affected, Xap Corporation/Bridges Transitions Co. reserves the right to cancel, terminate, modify, or suspend the program, including the selection of winners from previously received mail.

12) These rules are subject to change without notice for any reason including, without limitation, if necessary to comply with any applicable law or regulation. By entering this contest, entrants agree to abide by these contest rules and regulations and acknowledge that Xap Corporation/ Bridges Transitions Co. shall not be responsible for any damages, costs, demands, claims, or losses of any kind, made in connection with, in respect of, or arising out of this contest or the prizes, including without limitation, in connection with the making or using of the video submissions. As to U.S. residents, this contest shall be governed by and construed in accordance with the laws of the state of California and the federal laws of the United States of America applicable therein. For Canadian residents, it is govern by and construed in accordance to the laws of British Columbia and the federal laws of Canada applicable therein.

13) No purchase is necessary to enter or win, and no obligation of any kind is implied. This contest is void where prohibited, taxed or restricted by law. Participation constitutes entrant's full and unconditional agreement to and acceptance of these official rules. The contest is open only to legal residents of the U.S. and Canada (excluding the province of Quebec) who are age 18 or over, or with parental/guardian consent, and who meet the eligibility requirements detailed in these official rules.

14) These rules govern all aspects of the contest and are binding on all participants.
